IPDC Finance PLC, a company listed in the financial sector of the stock market, has decided to issue two bonds worth Tk 400 crore. These include an unsecured subordinated bond worth Tk 200 crore and a green zero-coupon bond worth Tk 200 crore.

The bonds will be issued through private placement to meet the company’s ongoing financing needs and ensure adequate capital in the future.

The information was disclosed on Sunday through the Dhaka Stock Exchange (DSE) and Chittagong Stock Exchange (CSE).

According to information released by the company, the decision to issue the two bonds was taken at a meeting of its board of directors held on October 29. Of the two bonds, the non-convertible subordinated bond worth Tk 200 crore will be treated as Tier 2 capital. The bond will have a maturity period of six years.

Meanwhile, the Tk 200 crore green zero-coupon bond will have a maturity period of five years. The combined face value of the two bonds will amount to Tk 400 crore.

However, the issuance of the bonds will require approval from Bangladesh Bank, the Bangladesh Securities and Exchange Commission (BSEC) and other relevant regulatory authorities. The company will complete the bond issuance process subject to approval from the regulatory authorities.

Meanwhile, the company has also decided to hold its 16th Extraordinary General Meeting (EGM) at a board meeting. However, implementation of the decision will require approval from shareholders and consent from the relevant regulatory authorities.

The EGM will seek approval for the following matters: 1. Addition of a new clause concerning the company’s objectives to the Memorandum of Association of IPDC Finance PLC. 2.Addition of a new clause to the company’s Articles of Association. 3.Amendment of the existing quorum provision in the company’s Articles of Association.

The company’s 16th Extraordinary General Meeting will be held virtually on December 15, 2026, at 9:00 am.

The record date has been set for November 19, 2026, to determine the shareholders eligible to participate in the meeting.
